Using VM Copy for cloud seed

Greetings,
I believe I know the answer to this - but..

Does a vmcopy process include all the vm files? In essence, as if the VM was powered down and the files were flat copied off?

I am investigating a cloud seed process in which the current operation involves powering down the VM and copying the files to an external storage for transport. Since I have VEEAM - I'm thinking the VMCopy would provide the same function - but let me keep production servers running..
