I have 3 non-clustered Hyper-V 2012 R2 hosts with 2 2012 R2 file servers. All 3 run VMs on SMB3 storage on the file servers.

2 hosts run virtual Exchange servers, and VeeamONE is reporting very high pages/sec during backups on those hosts.

The 3rd host runs the virtual VBR server and a legacy Sharepoint VM (very low utilization), so I am thinking about adding it as an off-host proxy, and assigning it as the proxy for the Exchange server backups.

Do you see any problems with that approach?

Another option would be to use one or both of the file servers as proxies. Would that be better? They are over provisioned with CPU cores and memory because they were full stack Hyper-V host before the 3 new hosts were bought.

There are no other physical servers available.

Any Hyper-V host with access to the SMB shares can be used as an off-host proxy. The host that the Virtual VBR server sits on would make the most sense to use as the off-host proxy. You can't use the file servers themselves.
